Deborah Penza In her role as the Vice President Corporate Compliance, Ms. Penza manages the day-to-day activities of Elan’s Corporate Compliance, Records Management and Enterprise-wide Risk Management Programs

She possesses corporate-wide responsibility for reviewing, auditing, and analyzing all corporate activities to ensure compliance with applicable laws, regulations and standards for which she employs a staff of five compliance auditors and analysts. Ms. Penza directs all corporate compliance investigations, and serves as a liaison to management and government agencies on these matters. Her department is responsible for the identification of training needs, as well as the development and delivery of compliance related training programs corporate-wide.

Ms. Penza chairs Elan’s Risk Council, and is responsible for administering Elan’s Enterprise-wide Risk Management Program. In this role she works with management to proactively and continuously identify and manage real and potential threats and opportunities that may impact Elan’s business. She collaborates with Risk Owners to implement plans to mediate identified risks, and with senior management to explore potential opportunities.

Ms. Penza also serves as a member of Elan’s Corporate Compliance Steering Committee, as well as the Quality Leadership Team. Ms. Penza provides the Audit Committee of Elan’s Board of Directors quarterly updates on the compliance status of the corporation, which includes analysis of compliance-related trends within Elan and the industry, as well as updates on the Company’s risk mitigation efforts.

Prior to joining Elan, Ms. Penza was a Vice President of Strategic Management Systems, Inc. in Alexandria, Virginia where she was responsible for the development of compliance programs for health care clients. In this consulting role, she provided support and guidance to clients on compliance program development and management, including compliance issue resolution. Ms. Penza also provided guidance to clients on matters of fraud and abuse in health care, particularly written guidance on the future direction of fraud and abuse enforcement and changes in the regulatory and compliance picture. Additional responsibilities included focus group programs, survey analysis of compliance programs, management of medical expert teams, and exit interview and post-employment contact programs.

Ms. Penza holds a Juris Doctor from the George Mason University School of Law, a Master of Arts in Political Science from The George Washington University and a Bachelor of Arts in Political Science from Florida Atlantic University.
